Management Team

Steve Pudles

Chief Executive Officer and Director

Mr. Pudles brings more than 25 years of electronics industry experience to API Technologies.  Prior to joining API in 2008, Steve served as President and CEO of Nu Visions Manufacturing and Executive Vice President of OnCore Manufacturing. Previously, he held senior management positions with Tanon Manufacturing, Electronic Associates, IEC and Restor Industries. He has been a member of IPC's Electronics Manufacturing Services Industry (EMSI) Council since 1988; was an original member of the Assembly Market Research Council (AMRC) Steering Committee; and was the Chairman of the IPC Taskgroup that created the IPC-D-326 document defining the "Documentation Requirements for Printed Circuit Board Assemblies." He also serves on the as Secretary/Treasurer of the IPC and is chairman of the EMSI Management Council.   Steve has a Masters of Science in Management and a Bachelor of Engineering from Stevens Institute of Technology in Hoboken, New Jersey.

Jonathan Pollack

Executive Vice President and Director

Mr. Pollack brings over fifteen years of financial, strategic and M&A experience to API Technologies.  Prior to joining API in 2009, he was the Chief Financial Officer and Corporate Secretary of Kaboose Inc.. (TSX:KAB), the largest independent family focused online media company in the world, which was sold to Disney and Barcalys Private Equity in 2009.  Jonathan has been a member of API’s Board of Directors since 2007 and was the Chair of the Company’s audit committee until September 2009.  Jonathan holds a Masters of Science in Finance and Accounting from the London School of Economics and Political Science and sits on the board of directors of several philanthropic organizations.

Carl R. Sax

Executive Vice President & General Manager, API Defense & API Systems

Mr. Sax has over 50 years of executive management and manufacturing experience.  He has been responsible for the P&L of three $80 million companies; developed, prepared and negotiated multi-million dollar contracts with the government, military and many commercial companies and has program managed government programs exceeding $100 million.  Mr. Sax has developed 3-5 year strategic plans including objective and tactical actions for the company along with development of business plans which include sales, marketing, financial, cash flow, manufacturing and distribution.  He has extensive experience with manufacturing systems including robotics and flexible machine cells.  While serving on various Design for Manufacturing and Assembly (DFMA) teams, ISO teams, Six Sigma teams and Integrated Product Teams (IPT) at the prime level, Mr. Sax was instrumental in the reduction of the costs and deliveries for many Government and Prime Contractor programs.

Arnold Markowitz

Vice President & General Manager, Components & Subsystems

Mr. Markowitz has over 25 years of specialized experience in sales and marketing of electronic components and corporate management of electrical and electronic component manufacturers.   Arnie joined API in 2002 as Director of Business Development. From 2003-2008 he was General Manager of API’s Filtran Group and led the Company’s sales organization, later serving as Vice President of Sales. Prior to joining API, Arnie was a principal and General Manager of Edal Industries, a manufacturer of semiconductors and electronic assemblies in East Haven, Connecticut and was worldwide sales manager for Sussex Semiconductor a manufacturer of semiconductors in New Jersey and Florida.

Brian Throneberry

Vice President, Sales & Marketing

Mr. Throneberry joined the API team in March 2010, bringing with him over 25 years of executive-level leadership in sales, business development, project management and global operations. Previously, Brian served as Vice President of Sales and Marketing at Suntron Corporation, a leading North American defense and aerospace subcontractor, as well is in senior executive roles at ACT Manufacturing and CMC Industries. Brian holds a BA in Aerospace Management from Middle Tennessee University and is a long-standing participant in the IPC, having served on several steering committees and as a speaker for numerous events.

Claudio Mannarino

Chief Financial Officer

Claudio Mannarino has been API’s Chief Financial Officer and Vice President of Finance since 2004. Mr. Mannarino has over 10 years of professional accounting and finance experience. He holds a Bachelor of Commerce Degree from the University of Ottawa and is a Certified Management Accountant. Prior to joining API, Mr. Mannarino spent three years as Controller for two divisions of GTC Transcontinental, a Canadian publicly traded company on the Toronto Stock Exchange.

Phillip DeZwirek

Chairman

Phillip DeZwirek is Chairman and founder of API Technologies Corp..  He founded API in 1981 and has led the company through its consolidation of the industry. In addition to his position with API, Mr. DeZwirek is also Chairman and CEO of CECO Environmental Corp, North America's largest independent pollution control company.  Mr. DeZwirek has grown CECO from $200,000 in revenue in 1991 to over $150 million in 2009.

Prior to API and CECO, Mr. DeZwirek was a founder of Bata Resources in the 1970s, consolidating numerous oil companies in Alberta and eventually merging with Pan Ocean Oil on the New York Stock Exchange.

Mr. DeZwirek sits on the boards of and has numerous investments in many public and privately held companies.

Jason DeZwirek

Director

Mr. DeZwirek has been a director of API since 1994. In addition to senior management roles with other public companies, Mr. DeZwirek has an extensive background in business management and the Internet. He was the founder, Chairman and CEO of Kaboose Inc. (TSX:KAB), the largest independent family focused online media company in the world which was sold to Disney and Barcalys Private Equity in 2009. In addition, Mr. DeZwirek is a director of CECO Environmental Corp. (NASDAQ:CECE), an air pollution control company.

Donald Wright

Director

Mr. Wright has been a director of API since 2006 and has served as a Principal of, and as a Real Estate Broker with, the Phillips Group in San Diego, CA, which has operated as a real estate developer and apartment building syndicator since 1992. He has extensive experience as a realtor including positions with Prudential Dunn Realtors of Pacific Beach, CA and One Source Realty GMAC. Mr. Wright has also served as a director of CECO Environmental Corp. since 1998, including a seat on the Audit Committee as well as the Committee established to administer CECO's stock option plans.

Arthur Cape

Director

Mr. Cape has been a director of API since 2009 and has served the manufacturing industry for over 30 years. Since 1991 he has served as Director of International Sales for Shymac Innovative Marketing, located in Montreal, Canada, and Director of Sales for AJB Continental, located in San Antonio Texas. Shymac Innovative Marketing manufactures brushes and AJB Continental is a distributor of brushes. Mr. Cape also acts as a consultant for several factories in China in the manufacturing and injection molding of plastic articles. Since May 25, 2005, Mr. Cape has served as a director of CECO Environmental Corp.. He has also served on the Audit Committee of CECO since such date. He has been active in youth awareness programs and has served on various youth committees in Canada.

Bernard Kraft, C.A.

Director and Chair of the Audit Committee

Bernard Kraft, C.A. has been a director of API since, 2009. Mr. Kraft also serves on our Audit Committee as Chairman and our Compensation Committee. Mr. Kraft is recognized as a Designated Specialist in Investigative and Forensic Accounting by the Canadian Institute of Chartered Accountants. Mr. Kraft is a retired senior partner of the Toronto, Canada accounting firm Kraft, Berger LLP, Chartered Accountants and now serves as a consultant to that firm. He is also a principal in Kraft Yabrov Valuations Inc. Mr. Kraft is a member of the Canadian Institute of Chartered Business Valuators, the Association of Certified Fraud Examiners and the American Society of Appraisers. Mr. Kraft has served as a director of Agnico-Eagle Mines Limited (a gold mining company traded on the Toronto Stock Exchange and the New York Stock Exchange) since March 12, 1992, and is also a director of Canadian Shield Recourses Inc., St. Andrews Goldfields Limited  and Kaboose Inc.
